Please read the following Conditions of Use for participation in the Adnet programme. Publishers need to agree to these conditions to be eligible as partners in Adnet. Where Publishers are part of the White Label Programme, different terms and conditions will apply. Adnet is operated by James Media (James Publishing Ltd), of Woodyett, Stirling FK8 3AF, registered in England 06141036, VAT number 912165157. Adnet is a trading name belonging to James Publishing Ltd.
Once Publishers have signed up to the Adnet Programme they will enter a 45 day 'trial period' during which Adnet will assess the effectiveness and conversion of the widgets, directories or ad units used by the Publisher. At the end of this period Adnet may, at its discretion, make recommendations as to the placement of the widgets, directories or ad units to improve their relevancy, performance and CTR (click through rate).
Unless otherwise agreed with Adnet in writing, Publishers will receive a minimum of 50%, with stepped increases depending on performance CTR, of all revenues received by Adnet from its advertisers for running their ads on the Publisher's website, or in the case of CPA ads, from commission revenue paid by the advertiser to Adnet, that has been generated from users clicking on such ads.
Payment to the Publisher will commence one month after the end of the trial period, and thereafter monthly, 45 days after the end of the calendar month in which the revenue has been accrued. Publishers will be able to track these payments by logging into their administration area.
Payment will be in British Pounds Sterling and can be paid via Paypal, or by mailed cheque. For Publishers based in the UK, payment can also be made by Bank Transfer. Adnet will not be responsible for any bank charges levied during the payment process. VAT at the current rate will be added to payments for Publishers based in the UK that are registered for VAT. The VAT number for James Publishing Ltd (trading as Adnet) is 912165157.
Payments of less than £25.00 will be rolled over to the following month unless payment is requested by the Publisher in writing.
Once publishers have been accepted onto the Adnet system, Adnet widgets, directories and ad units may only be displayed on the agreed url. They should also only be displayed on pages with a minimum of 200 words of unique text, and in the English language. Such content should not be pornographic in nature, violent, abusive, racist, profane, libellous, offensive or specially created in such a way as to manipulate Adnet's matching algorithms with excessive keyword density or other methods. Content should not be illegal, promoting or inciting illegal activity, or infringing on the legal rights of third parties. Publishers must make sure they have the legal right to publish text or images against which they run Adnet widgets, directories and ad units, and Adnet can accept no liability for any third party claims whatsoever. Publishers must agree to indemnify in full any claims against Adnet resulting from any infringements of copyright or other legal rights deemed to have taken place on a Publisher's website.
Adnet generated code must not be altered or manipulated in any way by Publishers, and once generated, must be pasted onto the publisher's pages without modification, unless agreed with Adnet in writing.
Only one Adnet widget, directory or ad unit may be displayed per page of content, unless agreed with Adnet in writing. Adnet units may not be displayed in pop-ups or in a pop-under, and every element of the widget, directory or ad unit should be clearly visible.
Clicks on Adnet ads must be from genuine users of a publisher's website. Adnet has special software in place to detect unusual or unexpected click-patterns, and Adnet also limits the amount of clicks that an advertiser will pay for from any one user, in any one session or period of time. Adnet also requires its ads to be recognizable as sponsored ads, and not to be disguised or mis-represented as part of the publisher's site navigation or content. No incentives, graphically or otherwise, should be offered to users to encourage them to click on the ads. Adnet retains the right to terminate an account if it considers the placement to be misleading, or which it feels is not in the best interests of Adnet advertisers.
Adnet retains the right to alter or amend these Conditions of Use at any time. It is the publisher's responsibility to keep themselves informed of any changes. Finally, notwithstanding any of the above, Adnet retains the right to terminate a Publisher account at any time, and will accept no liability for any costs incurred by the Publisher in relation to such termination, any web development costs associated with implementing the Adnet programme, or any subsequent loss of revenue to the Publisher.
In addition to one hyperlinked attribution on the javascript widgets, directories or ad boxes served by Adnet, which should not be obscured, Publishers agree to provide one hyperlink on the Publishers homepage or on a page directly linked to from the Publishers homepage, identifying Adnet as their advertising partner. If required, an Adnet logo can be requested.
